The Common Trap

Have you done everything right and still feel locked out?

You've worked 15, 20, 25 years. You saved. Maybe it's in a 401(k), maybe it's in the bank, maybe it's equity in a business you built with your own hands. And every time you hear how wealthy families really build wealth, through real estate they own, the door seems to have a sign on it: accredited investors only.

So the money sits. It rides the same market as everyone else's, or it waits in a savings account while prices climb. Nobody explains the rules in plain English. The people who do explain them usually want a check by Friday.

That's not a lack of discipline. It's a lack of a map.

Preparedness

Why start learning before you can invest?

Because the people who do well in private real estate learn the rules before the money moves, and the costliest mistakes happen on the first deal.

In private real estate you are betting on the sponsor as much as the property. Pick the wrong one and your money can be locked up for years with no one answering the phone. Learn first, and you walk in knowing what to ask, what a sound deal looks like and when to walk away.

There's a second reason. Accredited status can arrive faster than people expect: a raise, a promotion, a business sale, a spouse's income counted jointly, retirement savings that compound, or a professional license. When it does, you want to be ready that week, not starting from zero.

The Mentors

Who built this track, and why?

Two U.S. Army veterans who started exactly where you might be: with savings, a plan and no one to hand them a playbook.

Byron Kizzie and Dr. Melynda Kizzie built their first home in Hawaii as a military family. They tore out bathrooms, floors and sheetrock themselves, learned from mentors and more YouTube videos than they can count, and built through the 2006 boom and the 2008 downturn. More than 15 years later, they launched L5 Legacy Capital in 2026 to bring investors into the kind of deals they had been doing themselves.

"Find a mentor, jump in a deal… That's how you get the muscle memory."
— Byron Kizzie

Investor Foundations is the mentor's notebook they wish someone had handed them: the same lessons, in order, without the expensive detours.

Curriculum

What will you learn, step by step?

Six steps. Each one is short, free and builds on the last.

01

How private real estate works

Syndications and funds, what a general partner and a limited partner each do, and what you actually own.

02

Where returns come from, and what can go wrong

The value-add playbook (acquire, reposition, optimize, grow NOI, exit), and the risks a sponsor should show you before you invest.

03

How to judge a sponsor

The questions to ask anyone who wants your money, including us, starting with: is your own money in this deal?

04

How to read a deal

IRR, equity multiple, preferred return and the waterfall: what the numbers mean and which assumptions to push on.

05

The tax basics

Depreciation, the K-1 and passive losses, so you can have a sharper conversation with your CPA. Retirement savings, too: how a self-directed IRA can hold private real estate.

06

Your routes to accredited status

Income, net worth excluding your home, joint income or net worth with a spouse or spousal equivalent, a Series 7, 65 or 82 license, and qualifying entities, plus how verification works when the day comes.

Clear Expectations

Will finishing this let me invest in the L5 fund?

No, and we'll always be straight with you about that. L5's fund is offered under Rule 506(c) and is open only to verified accredited investors. Investor Foundations is education, open to everyone; it doesn't qualify anyone to invest.

What it does is make sure that when you do qualify, through L5 or anyone else, you know exactly what you're looking at. Accreditation is an SEC test. Readiness is on you. We'll help with the second one.

This is education, not investment, tax or legal advice. We'll never suggest taking a step just to qualify. Talk with your CPA, attorney or adviser about your situation.

Couples & Partners

Learning together?

Bring your spouse or partner. Many of the people who learn with us come as couples, and the best investment decisions in a family are the ones both people understand. Every lesson is written for two readers at the kitchen table.

Common Questions

Frequently Asked Questions

What is L5 Investor Foundations?

A free, step-by-step education track from L5 Legacy Capital for people who are not accredited investors yet. It covers how private real estate works, how to judge a sponsor and a deal, real estate tax basics and every route to accredited status.

Is it really free?

Yes. No course fee, no upsell. We teach because informed investors make better partners, and because we remember what it was like to learn this the hard way.

Does completing the track make me eligible to invest with L5?

No. L5's fund is open only to verified accredited investors under Rule 506(c). Accredited status depends on SEC tests such as income, net worth or certain professional licenses, not on coursework. The track gets you ready; the SEC tests decide eligibility.

Can I use my 401(k) or IRA to invest in private real estate?

Often, yes, through a self-directed IRA with a custodian that allows private real estate, once you meet the eligibility rules for the offering. Step 5 of the track explains how it works.
